Proposed Withdrawal from Trading on ISDX

NOTICE OF GENERAL MEETING
PROPOSED WITHDRAWAL FROM TRADING ON ISDX

Alpha Prospects PLC, an investment holding company listed on the ISDX Growth Market, currently with twelve investments, wishes to announce that in accordance with the Rule 81 of the ICAP Securities & Derivatives Exchange Limited ("ICAP") Rules for Issuers ("Rules") the Company is seeking Shareholders' approval for the proposed withdrawal of its entire share capital from trading on the ISDX Growth Market.

A notice to convene the General Meeting of the Company to be held on 24 January 2014 at 12 noon at Cassiobury Suite, First Floor, 54 Clarendon Road, Watford, Hertfordshire WD17 1DU, has been sent to Shareholders.

Reasons for the Withdrawal

The Directors believe that having a listing on the ISDX Growth Market is currently not in the best interests of the Company or its Shareholders as it continues its endeavours to attract additional investment into the Company and the development of its investing strategy.

The Directors have taken the decision to implement the withdrawal process due to the lack of liquidity of the ISDX Growth Market and the difficulty in raising funds by the issue of new Ordinary Shares to investors.

The Directors have taken steps to have the Ordinary Shares admitted to trading on the GXG First Quote Market.

GXG Markets is an exchange operator focusing on European small and medium sized enterprises. GXG Markets operates in accordance with the MiFID legislation under the supervision of the Danish FSA (Finanstilsynet).

If the delisting is approved by Shareholders at the General Meeting, the Company's shares will be withdrawn from trading on ISDX from close of business on 24 January 2014 and trading of Alpha's shares on GXG First Quote Market will commence at 8.00am on 27 January 2014.

The GXG First Quote

The GXG First Quote is designed for smaller businesses, providing the opportunity for companies to have their shares traded in an appropriately regulated environment, allowing them to gain a price for their shares and a market capitalization, without the need to change the structure of the company. Information about companies on GXG First Quote is restricted to professional or sophisticated investors and existing shareholders. This limited circulation allows companies to conduct further fundraisings through a private placing of shares, without the need to produce a public offer document or prospectus.

Trading System

All three of the securities markets operated by GXG Markets places are run electronically using the GXG Global Exchange Group proprietary trading system, GXG Tellus. Further information is available on the GXG Markets website www.gxgmarkets.co.uk.

Business of the General Meeting

The Resolution in the notice of the General Meeting deals with the proposed withdrawal of the Company's Ordinary Shares from the ISDX Growth Market in accordance with Rule 81 of the Rules. At the General Meeting, you will be asked to approve the Resolution as a special resolution, which requires the affirmative vote of Shareholders representing not less than 75 per cent. of the votes cast on the resolution by those who attend the meeting in person or by a proxy.
